These general terms explain how routine changes, technical fixes, additional work, ownership, cancellation, and electronic agreements are handled.

General terms and conditions
1. SERVICES AND PROJECT SCOPE
Pakdelify will provide the services described in this agreement and its project scope. Work outside the documented scope requires separate written approval.
2. MONTHLY SERVICE AND PAYMENT
Recurring service fees are due according to the agreed billing schedule. Third-party fees, advertising spend, premium domains, paid APIs, premium software, processing fees, and services not expressly included are separate. No additional Pakdelify work will be billed without the client's approval.
3. WEBSITE CHANGES, ADDITIONAL WORK, AND SYSTEM ISSUES
Reasonable website updates—such as changes to text, images, contact information, or other small content adjustments—are included as part of the ongoing monthly service. A major design change, new page, custom feature, third-party integration, or request requiring substantial development time will receive a clear estimate based on the required work hours before work begins. If an issue is caused by the website, code, or systems built by Pakdelify, Pakdelify will investigate and correct it at no additional cost.
4. CLIENT RESPONSIBILITIES
The client will provide accurate content, approvals, account access, branding, and other materials reasonably required for the project. The client confirms that it has permission to use all supplied content and is responsible for the accuracy and legality of that content.
5. OWNERSHIP AND ACCESS
The client's domain, original content, branding, customer data, and business records remain the client's property. Pakdelify retains ownership of its reusable tools, platform components, templates, internal systems, methods, and pre-existing code. Third-party products remain subject to their own licenses.
6. HOSTING, SECURITY, AND BACKUPS
While an eligible subscription remains active, the selected plan may include managed hosting, SSL, routine backups, security maintenance, and technical monitoring. No online service can be guaranteed to be uninterrupted or completely immune from security incidents.
7. WEBSITE TRANSFER AND BUYOUT
After twelve consecutive months of paid standard website service, an eligible standard website may be transferred without an additional website buyout charge. Earlier transfers, custom systems, or work involving substantial proprietary components may require a separately quoted transfer or buyout fee. Third-party subscriptions and Pakdelify platform components are not included unless stated in writing.
8. CANCELLATION
Either party may cancel ongoing monthly service by written notice. Service continues through the paid billing period. Eligible website files, domain access, and customer data will have a thirty-day transition window, subject to payment of outstanding approved balances and any applicable transfer terms.
9. THIRD-PARTY SERVICES
Services such as hosting providers, domain registrars, payment processors, email providers, SMS providers, advertising platforms, APIs, and software vendors are controlled by third parties. Pakdelify is not responsible for third-party outages, policy changes, suspensions, price changes, or acts outside Pakdelify's control.
10. MARKETING AND SEARCH RESULTS
Pakdelify will use reasonable professional efforts but does not guarantee specific search rankings, website traffic, leads, revenue, sales, advertising results, or business outcomes.
11. CONFIDENTIALITY AND DATA
Each party will use reasonable care with confidential information received from the other. The client must promptly revoke unnecessary access and notify Pakdelify of suspected account compromise. Pakdelify may retain project and agreement records reasonably necessary for operations, compliance, and dispute documentation.
12. APPROVALS AND TIMELINES
Project dates depend on timely client materials, feedback, approvals, and third-party access. Delays caused by missing information, changed scope, or third-party services may adjust the delivery schedule.
13. WARRANTY AND LIMITATION
Except for the express commitments in this agreement, services are provided on a reasonable-efforts basis to the maximum extent permitted by applicable law. Neither party will be liable for indirect, incidental, special, or consequential damages to the extent permitted by law. Pakdelify's aggregate liability relating to the agreement will not exceed the fees paid to Pakdelify under the agreement during the preceding six months, except where such limitation is prohibited by law.
14. GOVERNING LAW AND DISPUTES
This agreement is governed by Texas law. The parties will first attempt in good faith to resolve a dispute through written notice and direct discussion before filing a claim. Unless the parties agree otherwise in writing, venue will be in a court of competent jurisdiction serving Dallas County, Texas.
15. ELECTRONIC RECORDS AND SIGNATURES
The parties agree to conduct this transaction electronically. An electronic signature, typed name, checkbox acceptance, and associated electronic record are intended to have the same effect as a handwritten signature. Each signer may download, print, and retain the completed agreement and may request a paper copy or withdraw consent to future electronic records by contacting info@pakdelify.com. Withdrawal does not invalidate records already signed.
16. ENTIRE AGREEMENT AND CHANGES
This document, its project scope, approved written changes, and referenced policies form the complete agreement for the described services. A material amendment must be accepted in writing or through a new electronic agreement. If one provision is unenforceable, the remaining provisions continue to the extent permitted by law.
